Terms of Service for CaaS SaaS

Effective Date: April 12, 2024.

Welcome to CaaS SaaS, a software as a service (SaaS) platform providing AI-driven chatbot solutions powered by OpenAI technology. These Terms of Service ("Terms") govern your access to and use of our services, software, websites (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

  1. Agreement to Terms
    By using our Service, you agree to be bound by these Terms and confirm that you have read and understood them.
  2. Privacy Policy
    Our Privacy Policy, which details how we collect, use, and protect your personal information, is incorporated by reference into these Terms.
  3. Account Registration
    To use certain features of the Service, you must register for an account. You agree to provide accurate and complete information and keep this information up-to-date. You are responsible for the security of your account and any activity on your account.
  4. Payments and Billing
    We use Stripe for payment processing services. By using our Service, you agree to be bound by Stripe's services agreement, which may be modified by Stripe from time to time. As a condition of CaaS SaaS enabling payment processing services through Stripe, you agree to provide CaaS SaaS accurate and complete information about you and your business, and you authorize CaaS SaaS to share it and transaction information related to your use of the payment processing services provided by Stripe.
  5. Subscription Terms
    1. a. Subscription Plans and Fees
      We offer three subscription tiers:
      • Starter: $18.99 USD per month for up to 500 messages.
      • Pro: $48.99 USD per month for up to 2,000 messages.
      • Enterprise: $149.99 USD per month for up to 10,000 messages.
      All fees are due monthly and payable in U.S. dollars. Fees are subject to change with at least 30 days' notice prior to your next billing cycle.
    2. b. Auto-Renewal
      Subscriptions are automatically renewed each month. You may cancel your subscription by notifying us at least 10 days before the next billing date to avoid charges for the next billing cycle.
    3. c. Overages
      If you exceed the message limit of your subscription plan, your service will be frozen until the next monthly billing cycle or plan change.
    4. d. Upgrades and Downgrades
      You may upgrade or downgrade your subscription at any time. Changes will take effect immediately, and charges will be prorated accordingly. If downgrading, no refunds are provided for the unused portion of the higher subscription tier.
    5. e. Cancellations and Refunds
      You may cancel your subscription at any time. No refunds will be provided for any unused portion of the month, except in the case of our initial 72-hour money-back guarantee for first-time subscribers. In the request of a refund email matt@zeno.chat.
  6. Payment Terms
    1. Billing
      Payments are processed by Stripe. You agree to maintain valid and updated credit card information on file with us. If a payment fails to process, your service may be suspended until payment is received.
    2. Late Payments
      In the case of late payments, services may be suspended. It is your responsibility to ensure prompt payment to avoid service interruption.
    3. Data Handling at Subscription End
      Upon cancellation or termination of your subscription, your data will be retained for 30 days, after which it will be permanently deleted from our servers. During this period, you may request a copy of your data, which will be provided in a commonly used format.
  7. Account Suspension and Termination
    1. Non-Payment
      Failure to settle outstanding fees within 30 days of the due date may result in account suspension. Service will be reinstated upon full payment of due amounts.
    2. Breach of Terms
      Any breach of these Terms may result in immediate suspension or termination of your account without notice. We reserve the right to refuse service to anyone for any reason at any time.
  8. Use of Our Service
    1. Permissions
      You grant us the permission to use the data you provide us in accordance with our Privacy Policy and to use the OpenAI API to support and improve the services provided through our chatbot.
    2. Restrictions
      You may not use the Service for any illegal or unauthorized purpose. You agree to comply with all laws, rules, and regulations applicable to your use of the Service.
  9. Intellectual Property
    The Service and its original content, features, and functionality are and will remain the exclusive property of CaaS SaaS and its licensors.
  10. Termination
    We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
  11. Limitation of Liability
    In no event shall CaaS SaaS, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.
  12. Governing Law
    These Terms shall be governed and construed in accordance with the laws of Connecticut, USA, without regard to its conflict of law provisions.
  13. Changes to Terms
    We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 30 days' notice before any new terms take effect. What constitutes a material change will be determined at our sole discretion.

  15. Email Subscription
    1. By registering for an account and using our Service, you agree to join our email list. You may receive newsletters, promotional materials, and other updates from CaaS SaaS.
